Terms of Use
These Terms govern the download, installation, access to, and use of Palim Beta builds, the product website, official updates, and related account and support services operated by NYXEVO LLC (“NyxEvo”). By downloading, installing, accessing, or using Palim, you agree to these Terms. If you do not agree, do not use the affected service. Rights that cannot lawfully be excluded remain unaffected.
1. Access, Eligibility & Beta Status
Palim's local-first workbench is free and does not require an account. Some online Beta services are invitation-only; an invitation or access permission is personal to the recipient unless NyxEvo expressly allows otherwise. Online account features, downloads, updates, or gated services may be limited, paused, changed, or withdrawn while Palim verifies safety, support capacity, and release integrity. If you create an account, protect access to the email address used for one-time codes and do not share codes or sessions. If you cannot legally agree to software terms in your jurisdiction, use Palim only with permission from a parent, guardian, employer, or other authorized person.
No public checkout or paid service is active. If the Palim AI Paid Beta opens, the price, 7-day trial, author-initiated Alipay purchase, refund, and service-period terms will be shown before you confirm. Any future automatic-renewal plan requires separate opt-in.
2. Limited Beta License
Subject to these Terms and any non-excludable rights, NyxEvo grants you a limited, non-exclusive, non-transferable license to install and use a Palim Beta build on devices you control for personal, creative, evaluation, and internal testing purposes. The license may end if you materially breach these Terms. Suspending distribution or an online service does not authorize NyxEvo to remotely delete your local project files.
- Do not sell, sublicense, publicly redistribute, or present a Palim Beta build as your own product.
- Do not bypass access controls, security measures, service limits, or account permissions; interfere with the service; automate abusive traffic; or use another person's account.
- Do not remove product notices or use Palim to violate law, intellectual-property rights, privacy, confidentiality, platform rules, or the rights of others.
- Nothing here restricts reverse engineering, interoperability work, security research, or other conduct to the extent applicable law expressly protects it.
3. Your Content, Rights & Responsibility
NyxEvo does not claim ownership of manuscripts, drafts, sources, outlines, style references, dictionaries, or project assets you create or load into Palim. You remain responsible for deciding what to import, send to an AI service, export, publish, or share, and for having the rights and permissions required for that material.
- Palim needs no license to local content merely because it exists in your project.
- When you explicitly start an AI action or send support feedback, you permit the limited processing needed to perform that request.
- Keep independent originals and backups. A Palim account does not back up or synchronize local projects.
4. AI Features & Third-party Services
AI-assisted output is probabilistic and may be inaccurate, incomplete, biased, unsafe, non-original, or unsuitable for publication. Treat it as proposed material, verify facts and citations, and review every change before relying on it. The separate AI Disclaimer provides the full current risk boundary.
- Palim AI may use approved marketplace routes and upstream services under varying privacy, training, retention, security, and regional terms. An AI service you configure remains subject to that service’s own account, privacy, retention, usage, and payment terms.
- Palim does not grant rights to third-party models, services, fonts, source material, or other external components.
- Do not use AI output as legal, medical, financial, safety-critical, or other professional advice.
5. Feedback, Support Material & Confidentiality
Beta participation is not a confidentiality agreement. Do not send trade secrets, unpublished manuscripts, personal data, credentials, or other confidential information in feedback unless you intentionally choose a minimal sample and understand the support boundary. You allow NyxEvo to use non-confidential feedback you voluntarily submit to diagnose, secure, and improve Palim without payment or an obligation to adopt it. You retain ownership of any copyright you hold in the submitted material.
6. Updates, Changes, Suspension & Ending Use
Beta features, formats, models, online services, and system requirements may change. NyxEvo may pause a download, update feed, account, or online feature to address security, abuse, legal, provider, or reliability risk. Account suspension must not block opening, editing, exporting, or migrating local project files already on your device.
You may stop using Palim and uninstall it at any time. Uninstalling may not delete project folders you chose, local backups, support messages already sent, or records that must be retained for security or law; see the Privacy Notice.
7. Beta Risk, Warranties & Liability
Palim Beta is provided for evaluation and may contain defects, lose settings, produce inaccurate output, fail to import or export faithfully, or become unavailable. To the maximum extent permitted by applicable law, it is provided “as is” and “as available,” without promises of uninterrupted operation, fitness for a particular purpose, non-infringement, publication success, or compatibility with every file, service, or device.
To the maximum extent permitted by law, NyxEvo is not responsible for indirect, incidental, special, consequential, or exemplary loss arising from Beta use, including lost work, lost opportunity, or reliance on AI output. These Terms do not exclude liability or consumer remedies that applicable law does not allow NyxEvo to exclude or limit.
8. Applicable Rules, Disputes, Changes & Contact
The in-app first-use acknowledgement is stored only in the local app profile to remember the notice version and is not sent to NyxEvo. These Terms do not require arbitration, waive access to a court or regulator, or restrict a remedy available under mandatory law. The law and forum with jurisdiction are determined by applicable mandatory rules and the circumstances of use.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision is not a waiver. Material changes will update the effective date, be presented prospectively, and follow any notice or consent requirement imposed by law. Questions can be sent to contact@nyxevo.com.
